1. Registration
1.1. The symposium will be held over one day. Attendees can only register for attendance for the full duration of the summit.
1.2 Registration is for the in-person symposium in Boston, USA.
1.3. MaxWell Biosystems will accept registrations for the in-person summit until 17 September 2024, or until all places have been filled, whichever occurs first. This date may be extended at MaxWell Biosystems’ discretion.
1.4. Those who wish to attend the symposium must provide their details, including, but not limited to their name, email address, and any other details reasonably required for the summit (hereafter referred to as ‘Personal Information’) as part of the registration process. Personal Information will be held in accordance with MaxWell Biosystems’privacy policy. Each attendee is responsible for ensuring that such Personal Information is correct and up to date.
1.5. Only Attendees who have registered will be eligible to attend the symposium. Once an Attendee’s registration has been confirmed, the registration cannot be transferred. If, after registering, an attendee can no longer attend the symposium, the Attendee should inform MaxWell Biosystems as soon as possible by sending an email to marketing@mxwbio.com.
1.6. All registrations for the symposium are made subject to these Terms and Conditions (the “Terms”) (which shall apply to the exclusion of any other terms).
1.7 By registering, you agree to us communicating with you, via the MaxWell Biosystems mailing list, regarding this event or upcoming events. You will be able to unsubscribe at any time.
2. Attendee responsibilities
2.1. Attendees must behave responsibly and appropriately at the symposium. MaxWell Biosystems reserves the right to refuse entry to the symposium or remove from the symposium any Attendee who, in its sole opinion, is: (i) drunk; (ii) disorderly; (iii) has, or is likely to affect the safety of other Attendees; (iv) uses threatening, abusive or insulting words or behavior; (v) behaves in a manner which may be offensive to others (including online abuse or offensive behavior); (vi) fails to produce proof of identity or age when reasonably requested; (vii) or for any other reason whatsoever.
2.2. For events involving alcohol, you agree that you are legally old enough to drink alcohol. You agree that you will consume any alcohol responsibly.
2.3. You acknowledge that it is your responsibility to adhere to a reasonable standard of health and safety and to maintain a reasonable standard of safe behavior during the symposium. In particular, you should be aware of additional safety measures in place to protect against and prevent the transmission of COVID- 19 at the symposium, in accordance with applicable laws and governmental guidance or as otherwise communicated to you by MaxWell Biosystems at the time of the symposium.
2.4. You should not attend the symposium if you:
- are required to self-isolate;
- are required to isolate after travel;
- are displaying any COVID-19 symptoms (including a high temperature, new and persistent cough, or a loss of/change in sense of taste or smell), even if these symptoms are mild, or anyone within your household is displaying symptoms.
3. MaxWell Biosystems’ responsibilities
3.1. MaxWell Biosystems shall comply with all applicable laws in connection with the organisation and staging of the symposium and those laws relating to health and safety, and shall put in place and maintain appropriate policies and procedures to protect against and prevent the transmission of COVID-19 at the symposium, in accordance with applicable laws and governmental guidance. This shall include:
- sharing any venue safety measures and specific requirements prior to the symposium;
- where appropriate, ensuring all event staff follow government guidelines at the time of the event on wearing face coverings indoors, or in any public outdoors spaces.
- where appropriate, ensure event staff maintain social distancing from each other and other persons when working at the summit in line with current government advice.
3.2. MaxWell Biosystems shall keep such guidance under review and communicate any changes in advance to Attendees.
3.3. The safety measures at the summit are intended to minimise the risk of contracting COVID-19 but this risk cannot be completely eradicated. You acknowledge that any interaction with the general public poses an elevated risk of being exposed to COVID-19 and we cannot guarantee that you will not be exposed while in attendance at the summit. Accordingly, you agree not to hold MaxWell Biosystems, the venue, or any affiliates parties liable for any illness or injury. Anyone attending this summit acknowledges that they do so at their own risk.
4. Payment
4.1. The MxW Symposium is free of charge and operates on a “first come, first served” basis, as there is limited availability.
5. Alterations and Cancellations
5.1. MaxWell Biosystems reserves the right, at any time and for any reason, to make alterations or cancellations to the symposium program, speakers, venue, date and timings.
5.2. In the event that it is necessary for MaxWell Biosystems, for any reason, to postpone the symposium or change the dates of the symposium, the Attendee’s registration shall remain in force. MaxWell Biosystems shall not be liable for any loss, damage, costs or expenses incurred by Attendees (including but not limited to any wasted costs and expenses, travel, accommodation or other fees), howsoever arising, whether direct or indirect.
5.3. All cancellation requests must be made in writing, by sending an email to marketing@mxwbio.com.
6. Abstracts
6.1. MaxWell Biosystems is giving Attendees the opportunity to speak at the symposium and exhibit their work during presentation sessions. In order to participate in a poster presentation session, Attendees must submit an academic poster prior to registration (an “Abstract”)
6.2. Confirmation of registration does not guarantee acceptance of an Abstract.
6.3. MaxWell Biosystem reserves the right to reject an Abstract if, in MaxWell Biosystems’ sole discretion, it contains objectionable material or content.
6.4. By submitting your abstract, you hereby consent to the inclusion of your submitted abstract in the printed version of the program for the MxW symposium 2024.
7. Photography & Filming
7.1. The symposium talks will be filmed and there may be professional photography, for promotional purposes, taking place during the symposium. Attendees who do not wish to be photographed or filmed should advise MaxWell Biosystems by emailing marketing@mxwbio.com at least 48 hours prior to the symposium.
7.2. Unless you have notified MaxWell Biosystems in advance, by attending the summit you acknowledge and agree to grant MaxWell Biosystems the right at the symposium to record, film, photograph or capture your likeness in any media now available and hereafter developed and to distribute, broadcast, use or otherwise globally to disseminate, in perpetuity, such media without any further approval from you or any payment to you. This grant to MaxWell Biosystems includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, and the right to allow others to use and/or disseminate the media.
8. Data Protection
The contact details of registered Attendees will be held by MaxWell Biosystems in accordance with MaxWell Biosystems’ privacy policy, details of which may be found on our website.
9. Force Majeure – Events Outside Our Control
9.1. MaxWell Biosystems shall not be in breach of these Terms nor be liable for any delay in performing or failure to perform its obligations under these Terms, howsoever arising, whether direct or indirect, if such delay or failure results from events, circumstances or causes beyond MaxWell Biosystems’ reasonable control including, without limitation, acts of God, floods, lightening, storm, fire, explosion, war, military operations, acts of terrorism or threats of any such acts, strike action, lock-outs or other industrial action, any period of national mourning, public disaster, civil disturbance, riot, a pandemic, epidemic or other widespread illness (including COVID-19), and/or any withdrawal of the venue or labour dispute of any kind which interferes with the working of the summit or affects transport or accommodation facilities available to the symposium Attendees.
9.2. In such circumstances, MaxWell Biosystems shall be entitled to a reasonable extension of time for performing its obligations under these Terms. If the period of delay or non-performance continues for 45 days or more, MaxWell Biosystems may terminate these Terms at its sole discretion by giving written notice to the Attendee.
10. Limitation of Liability
10.1. Subject to clauses 10.2 and 10.3 below, any liability that MaxWell Biosystems may have to an Attendee pursuant to contract, tort (including negligence) or otherwise, for any damages, loss, costs, claims or expenses of any kind howsoever arising, whether arising out of or in connection with any registration (or request for registration) made by the Attendee or on their behalf in relation to the summit, shall be limited to the total registration fee paid by the Attendee.
10.2. In no event shall MaxWell Biosystems be liable for any claims, penalties, loss, damage, or expenses however arising, out of or in connection with the summit, including, without limitation, direct or indirect loss, consequential loss or damage arising out of attending the summit.
10.3. Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by negligence or for any liability which cannot be excluded or limited under the law.
11. Content
The presentations, documents and materials published or otherwise given or made available as part of the summit do not necessarily reflect the views or opinions of MaxWell Biosystems. Whilst MaxWell Biosystems takes reasonable care to ensure that the content created by it is accurate and complete, Attendees should verify the accuracy of any information supplied as part of or in connection with the summit (whether provided by MaxWell Biosystems, any speakers at the summit or by third parties) before relying on it.
12. Severability
Each of the paragraphs and sub-paragraphs of these Terms operates separately. If any Court or relevant authority decides that any of them are unlawful, the remaining paragraphs and sub-paragraphs will remain in full force and effect.
13. Entire Agreement
These Terms contain the entire agreement between MaxWell Biosystems and Attendees, replacing all previous agreements in respect of the summit. Attendees agree that they have not relied upon any pre-contractual statement made by MaxWell Biosystems in entering into these Terms. In this context, pre-contractual statement means any undertaking, promise, assurance, statement, representation, warranty or understanding (whether in writing or not) of any person relating to the summit (other than as set out in these Terms).
14. Governing Law and Court of Jurisdiction
If any provision of these Terms and Conditions is found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, that invalidity or unenforceability will not affect the other provisions of these Terms and Conditions which will remain in full force and effect.
The place of performance and jurisdiction for both Buyer and Seller is the registered address of the Seller. The contract shall be governed by Swiss law.
